Abstract

The article deals with the issues related to Polish and Czech regulations of liability for the obligations that were undertaken before formation of company. It should be pointed that the Czech solution of liability for the obligations of company before its registration differs in some cases from the conception which was implemented into the Polish Code of Commercial Partnerships and Companies. The provisions concerning liability of person who acts on behalf of a limited liability company or joint-stock company before its registration were discussed in this paper. The article outlines the main differences between the Polish and the Czech concepts. The authors deliberate also the nature of liability for the obligations that were undertaken by person before the registration of company in these legal systems. The analysis of the Czech and Polish provisions were substantiated by reference to judicature.
